These Terms and Conditions ("Agreement") constitute a legally binding agreement between SOFTINX LTD ("we", "our", "us") and the entity engaging our services ("Client", "you"). By commissioning our IT consultancy or software development services, you agree to be bound by these terms.

1. Engagement and Scope

We provide bespoke business and domestic software development, web-based systems, digital enquiry platforms, automation setup, and information technology consulting services. The specific details of any engagement, including project specifications, deliverables, and commercial terms, shall be defined in a separate quotation, proposal, or Statement of Work (SOW) agreed upon by both parties prior to commencement.

To facilitate the timely completion of the project, the Client agrees to:

Upon full and final payment of all outstanding invoices, ownership of the final developed deliverables (e.g., custom code, website files, CRM setups, dashboards) will transfer to the Client. We retain all rights, title, and interest in any pre-existing intellectual property, proprietary tools, scripts, or open-source libraries used during the project that are not specifically custom-built for the Client.

Payments are to be made via bank transfer against professional invoices. Specific payment schedules, including upfront deposits and subsequent milestone payments, will be clearly outlined in the agreed proposal. We reserve the right to suspend services and withhold deliverables if invoices remain unpaid beyond the agreed payment terms. All fees are exclusive of any third-party software licenses or hosting costs unless explicitly stated.

5. Cancellation Policy

Clients have the right to request the cancellation of an ongoing project or service agreement. For your convenience, cancellation requests can be initiated securely over the phone by calling our support team at +44 7853 165404 or by emailing softinxltd@inbox.eu. Following the initial request, we will require a brief written confirmation via email to formalize the termination. Upon cancellation, the Client will be invoiced strictly for the work completed, materials used, and resources allocated up to the date of cancellation.

To the maximum extent permitted by applicable law, SOFTINX LTD shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, data loss, or business interruptions arising from the use of our services or developed software. Our total liability under any contract shall not exceed the total fees paid by the Client for the specific service in question.

7. Confidentiality

Both parties agree to keep all sensitive business information, project details, and technical data strictly confidential. Information will only be disclosed to team members or third parties strictly on a need-to-know basis to fulfill the service obligations.

These terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales.
